Thomas S. Rogers was appointed by our Board to serve as a director in September 2003 and was named President and Chief Executive Officer of TiVo, effective July 1, 2005. In connection with being appointed as our new President and Chief Executive Officer, Mr. Rogers resigned as Vice Chairman of our Board of Directors and as a Class II Director and was immediately reappointed by our Board of Directors as a Class III Director. In addition to his role with TiVo, Mr. Rogers is Chairman of the Board of Teleglobe International Holdings, Ltd. (NASDAQ:TLGB), a provider of international voice, data, internet, and mobile roaming services, a position he has held since November 2004. From July 2003 until July 2005, he also served as Chairman of TRget Media, a media industry investment and operations advisory firm. From 2004 until July 2005, he also served as the Senior Operating Executive for media and entertainment for Cerberus Capital Management, a large private equity firm. From October 1999 until April 2003, Mr. Rogers was Chairman and CEO of Primedia, Inc. (NYSE:PRM), a print, video, and online media company. From January 1987 until October 1999, Mr. Rogers held positions with National Broadcast Company, Inc. including President of NBC Cable and Executive Vice President. Mr. Rogers holds a B.A. degree in Government from Wesleyan University and a J.D. degree from Columbia Law School.
Jim Barton TiVo Co-Founder, CTO and Senior Vice President
At TiVo, Jim sets the technical vision for the company, including our product, service and partnership roadmaps. In addition to responsibility for all product development, his special area of emphasis is on the software and digital video streaming technologies behind the TiVo Service.
Prior to co-founding TiVo, Jim was President and CEO of Network Age Software, Inc., a company he founded to develop software products targeted at managed electronic distribution. The concepts he developed at Network Age form the foundation of the TiVo Personal TV Service.
Jim began his executive career at SGI, holding a position as Vice President and General Manager of the Systems Software Division, and continued with executive roles in both operational management and R&D organizations within the company. While at SGI, he became the lead system software architect of the Full Service Network in Orlando, Florida, in which he worked to develop the only large-scale interactive television system to be put into operational service. He also served as CTO of Interactive Digital Solutions Company, a joint venture of Silicon Graphics and AT&T Network Systems created to develop interactive television systems.
Prior to joining SGI, Jim held technical and management positions at Hewlett-Packard and Bell laboratories in the areas of operating system and networking technology and product development. Jim holds a B.S.E.E. and an M.S. in Computer Science from the University of Colorado at Boulder.
Karen brings to TiVo more than 25 years of experience in developing strategies for integrated sales efforts across national cable television, broadcast, and online. These efforts have resulted in significant growth in advertising revenue and a substantial increase in the national advertiser base in her prior positions. Prior to joining TiVo, Karen was Senior Vice President, National Advertising Sales for some of Viacom International's most well known brands, running advertising sales for Nick at Nite, TV Land, and TVLAND.com. Prior to that, she served as Vice President, Eastern Region Sales for Discovery Communications, Inc. Karen launched her advertising career at Young & Rubicam Inc. and Foote, Cone & Belding. In 2007, Karen was named recipient of Working Mother magazine's "Advertising Working Mother of the Year".
Cal Hoagland Interim Chief Financial Officer
Cal is serving as interim CFO and has been a principal of Financial Leadership Group since May 2005. From August 2001 to January 2005, he held several positions, including Senior Vice President, CFO and Secretary, at Interwave Communications, Inc. (NASDAQ: IWAV), a publicly held wireless cellular telecommunication networks infrastructure company. He has also worked at numerous other public and pre-IPO companies. From 1999 to 2001, Cal served as treasurer at Persistence Software (NASDAQ: PRSW) and before that he was Chief Financial Officer of Phasecom, a privately held startup, from 1998 to 1999. He also previously served as Chief Financial Officer of ACCOM (NASDAQ: ACMM), Global and Corporate Controller for ADAC Laboratories (NASDAQ: ADAC), and Corporate Controller of Valence Technology (NASDAQ: VLNC). He is a former Audit Manager with Coopers & Lybrand, now PricewaterhouseCoopers. Cal holds a B.S. in Business Administration from San Jose State University.
Nancy Kato Senior Vice President, Human Resources
A Silicon Valley native, Nancy Kato is one of the region's most experienced Human Resources professionals. As Senior Vice President of Human Resources at TiVo, Nancy is responsible for developing and managing all processes and policies in regard to employee relations, recruiting and hiring, performance assessment and compensation as well as employee and organizational development.
Nancy joins TiVo from Hewlett-Packard, where she served as Vice President of Global Compensation. At HP, Nancy developed strategic compensation and planning for the company's 150,000 worldwide employee base. Prior to her role at HP, Nancy was Senior Vice President of Human Resources for Ariba. She has also held senior roles at Compaq and Tandem.
Nancy earned her BS in Health Sciences and MA in Education and Counseling from San Jose State University. In addition, she has served as a guest lecturer at Stanford University and Santa Clara University. She is active in numerous charitable causes for Valley children and the elderly.

Jeff Klugman Senior VP, General Manager of Service Provider and Advertising Engineering Division
Jeff is responsible for TiVo's Service Provider division, helping cable, satellite and other service providers deploy the TiVo Service to their customers world-wide. Jeff leads the sales, marketing, design, engineering, product qualification and program management functions for the service provider division.
Jeff joined TiVo in 2001. Previously Jeff was Vice President for TiVo's Platform business and led a group that was responsible for technology licensing, product marketing, manufacturing, customer support, and service operations. Over the last three years TiVo established licensing relationships and deployed products with the world's largest consumer electronic and STB companies.
Jeff has over 20 years of experience in marketing, engineering, and general management. Before joining TiVo, Jeff was CEO for PointsBeyond - a venture-backed internet portal focused on the outdoor adventure market. Prior to that, Jeff founded and was Vice President of Marketing and Business Development for Quantum Corporation's Consumer Electronics Business Unit where he built Quantum's first business relationships with Panasonic, Sony, and TiVo. Jeff started his career at Hewlett-Packard and held a variety of engineering, marketing management and business development roles.
Jeff earned a B.S. with Honors in Engineering from Carnegie Mellon University and holds an MBA from Stanford University.

Joe Miller Senior Vice President, Consumer Sales and Distribution
As an early member of the TiVo sales and marketing team, Joe orchestrated the company's entry into the retail channel and crafted strong marketing relationships with partner companies. Currently, Joe is focused on the management of all aspects of the company's sales and distribution efforts.
Prior to joining TiVo, Joe was with US Satellite Broadcasting from 1994 to 1999 as General Manager of Retail Sales. As GM of Retail Sales, Joe directed subscriber acquisition via the retail channel. Prior to joining US Satellite Broadcasting, Joe was National Sales Manager for Cox Satellite Programming.
Joe holds a B.A. degree in Public Relations from Southwest Texas State.

Mark Roberts Senior Vice President Consumer Products and Operations
Mark A. Roberts was named Senior Vice President of Consumer Products and Operations in October 2005 responsible for Consumer Products Engineering and Product Marketing, Manufacturing, Distribution, Call Center, Service Operations, Information Technology, Facilities and Broadcast Center Operations. He had served as Senior Vice President of Engineering from December 2002 to October 2005 and Chief Information Officer of TiVo from March 1999 to December 2002.
Prior to joining TiVo, Mark served as Vice President of Information Technology at Acuson Corporation, a leading manufacturer of medical diagnostic ultrasound products, where he was responsible for the company's worldwide information technology systems. Prior to that, he was Director of Information Systems at SGI. He also spent seven years with the San Francisco office of Andersen Consulting serving high technology clients including Apple, Sun Microsystems and Tandem.
Mark holds a BS in Economics with a minor in Business from the University of Santa Clara.
Matthew Zinn Senior Vice President, General Counsel & Chief Privacy Officer
At TiVo, Matt has overall responsibility for the Company's legal, government relations and privacy matters.
Prior to joining TiVo, Matt was Senior Attorney, Broadband Law and Policy for MediaOne in Denver, Colorado. During his tenure there, he developed strategies and advocacy positions on video and high-speed data issues, negotiated carriage deals with television programmers, and provided legal support to MediaOne's corporate marketing, operations, engineering, commercial sales and regional counsel.
Before joining MediaOne, Matt served as Corporate Counsel for Continental Cablevision's Western Region, based in Los Angeles. Prior to that, he was an associate with the Washington, D.C., law firm of Cole, Raywid & Braverman, where he represented cable operators before the FCC.
Matt holds a juris doctorate from the George Washington University National Law Center and a Bachelor's of Arts degree in Political Science from the University of Vermont. Matt is a frequent speaker at conferences addressing legal issues confronting multi-channel video providers.
